1. Who we are and what these terms cover
These Partner Terms are an agreement between you and Nazarii Olehovych Leus, an individual entrepreneur registered in Ukraine, trading as ThreadPage, taxpayer identification number 3591414557, 32 Shkilna Street, Apartment 7, Bershad, Haisynskyi District, Vinnytsia Region, 24400, Ukraine, support@thread.page (“ThreadPage”, “we”, “us”).
They cover the ThreadPage partner program. Your service under these terms is finding and introducing new customers for ThreadPage through your link. Customers buy ThreadPage from Paddle, our reseller; you do not sell, negotiate or conclude contracts for us. We pay you only a commission on the payments that the customers you introduce make for ThreadPage. We do not buy advertising space, posts or other content from you under these terms.
Our Terms of Service and Privacy Policy still apply to your use of ThreadPage. Where these Partner Terms and the Terms of Service differ about the partner program, these Partner Terms apply.
You accept these Partner Terms by selecting Join in Settings → Partner program. We record which version you accepted and when. When you first save your payout details, you sign these terms with the one-time code we email to your account address; under Articles 11 and 12 of the Law of Ukraine «On Electronic Commerce», that makes them a contract concluded in written form.
2. Who can be a partner
You can be a partner if all of these are true:
• you are at least 18 and have a ThreadPage account;
• you take part in the course of your own business or professional activity, as a self-employed person or through your company, with one partner account per person or company;
• if you live in Ukraine, you take part as an individual entrepreneur registered in Ukraine, giving us an extract from the Unified State Register, or through a company registered in Ukraine. We cannot pay commission to residents of Ukraine who are not registered entrepreneurs or companies;
• you live, and your bank account is held, in a country we can send payouts to. We cannot pay anyone who lives or is located in, or acts for a person in, Russia, Belarus, the temporarily occupied territories of Ukraine, Iran, North Korea or Cuba, or a country to which our payment providers do not send payments, or anyone named on a sanctions list that applies to us or to our payment providers.
We may decline or end a partnership where the law or our payment providers do not let us pay you. Commission you earn while we cannot pay you stays in your balance and is paid once we lawfully can; if we never can, it is not paid.
3. Your link and who counts as your referral
You choose a code once. Your link is thread.page/via/ followed by your code, for example https://thread.page/via/yourname, and you can add ?via= followed by your code to any public thread.page address. Choose a code that identifies you or your channel. Do not use a code that could be taken for ThreadPage or for someone else, that is offensive, or that promises anything, such as a discount. We may refuse such a code, or give it to the person or channel it names and, if you chose it to pass as them, cancel the commission earned on it.
A person counts as your referral when all of these happen:
• they open your link;
• they create a new ThreadPage account, in the browser tab they opened from your link, or within 30 days in a browser where they allowed analytics on thread.page;
• while creating the account, they choose Credit followed by your code.
If a person opened links from more than one partner, the choice shows the code from the most recent link opened in that tab, or else the one their browser kept. People who credit you get the same price and the same trial as everyone else; trials earn you nothing on their own. Existing accounts, your own accounts and people who choose not to credit you do not count. A referral stays with you; another partner cannot take it over. The person can stop crediting you at any time, and you then earn nothing on their later payments.
We do not promise that everyone you send will be counted. People who change device, come back later in a new tab without having allowed analytics, or choose not to credit you are not. Our records are the basis for counting referrals.
4. Commission
For each payment your referral makes for ThreadPage through thread.page for a billing period that starts before the second anniversary of the start of their first paid period, you earn 30% of the net amount we receive for it, or the higher rate we agree with you in writing; Settings → Partner program shows your rate. The net amount is what Paddle pays out to us for that payment after taxes and Paddle's fees, in US dollars, as Paddle's records show.
Every plan and storage size counts, including payments for a larger storage size.
These payments do not earn commission: payments made before the person credited you or after they stopped crediting you; payments made after your partnership ended, except as section 9 says; payments by a customer who paid ThreadPage before under another account; payments by you, by people acting for you, or by people you paid or rewarded to subscribe; purchases outside thread.page.
Visits, accounts and trials earn nothing on their own.
If a payment is refunded or credited back in full or in part, the commission on it is reduced in the same proportion. A chargeback, or a dispute in which the payment is returned to the buyer, reverses the commission in full. If the money comes back to us, so does the commission.
5. Payouts
Commission on a payment becomes Ready 30 days after the payment. Your first payout includes only commission on payments made at least 60 days before. Commission on a payment with an open refund request or dispute stays on hold until it is resolved.
By the 25th of each month, we pay the commission that became Ready by the 15th if it adds up to at least USD 50 before any tax we withhold, comes from at least two different customers, and your payout details were confirmed by the 15th. Otherwise the balance carries over to a later month. If Paddle has not yet paid us for a payment, we may hold the commission on it until it does.
We pay through Wise to an account in your name or your company's name, in the currency of that account; an amount we pay in a currency other than US dollars is converted from the US dollar amount at Wise's rate when we send it. If you live in Ukraine or take part through a company registered in Ukraine, we pay the same amount in hryvnias by bank transfer from our Ukrainian account to your Ukrainian account, converted at the National Bank of Ukraine's official rate on the day we pay. Keep your payout details accurate; a payment sent to the details you gave us counts as paid. We pay the fees of Wise and of our bank for the transfer and any conversion. Fees your own bank charges, if any, are yours.
Each payout comes with a statement of the number of payments and reversals, the commission on them by month, and any tax withheld. You authorise us to issue that statement on your behalf as your invoice for the commission and as the record of the services provided (self-billing). If you are registered for VAT or a similar tax, put your registration number in your payout details, tell us if it changes, and do not issue your own invoices for commission our statements cover. If you think a statement is wrong, tell us within 60 days; after that we treat it as accepted, except for evident errors and fraud.
If reversals are larger than your balance, the difference is taken from your future commission. We ask you to repay it only if it came from a breach of these terms or from fraud.
We may hold a payout for up to 90 days while we look into a possible breach, fraud or legal requirement, and we tell you that we are doing so.
We may ask for the information the law or our payment providers require before paying you, such as your legal name, address, country of tax residence or tax identification number. Until you give us what Ukrainian tax reporting requires, such as a Ukrainian taxpayer number or, if you are paid as an individual entrepreneur registered in Ukraine, your extract from the Unified State Register, we hold your payout, and that is not a breach of these terms.
If the law, a sanctions rule, a change in currency rules or our payment providers stop us from sending a payout, or war or an outage of power, communications or banking delays it, we keep the amount for you and pay it as soon as we lawfully can. Such a delay is not a breach of these terms.
6. Taxes
You are responsible for reporting and paying the taxes on your commission that apply where you live. Commission amounts include any tax that applies to your services.
From commission paid to an individual we withhold personal income tax at 18% and military levy at 5% of the commission and pay them to the budget of Ukraine, as the State Tax Service of Ukraine requires tax agents to do; if a ruling of the State Tax Service or a court confirms that no tax is due on your commission, we stop withholding from later payouts. If you send a certificate of your tax residence for that calendar year that meets the requirements of the Tax Code of Ukraine to support@thread.page, we apply the lower income-tax rate of the applicable double-tax treaty; the military levy is not covered by treaties. We do not withhold from companies or from individual entrepreneurs registered in Ukraine who gave us their register extract. Each statement shows the amount earned, the tax withheld and the amount sent. We do not issue US Forms 1099.
7. How you may promote ThreadPage
You must:
a. Disclose every time. Whenever your content mentions ThreadPage and carries your link or code, or after you have received anything of value from us (commission, free Pro or any other benefit), label that content clearly, in its own language, where people see it before they click or read further. Use the label “Advertisement” or “Ad” (or its equivalent in the language of the content, such as “Werbung”, “Publicité” or “Реклама”) before or right next to the link, together with a short sentence such as “I get a commission if you subscribe through my link” or “ThreadPage gave me Pro for free”.
b. Know that words such as “affiliate”, “aff”, “sp”, “collab” or “partner”, or a note that you “may” earn a commission, are not enough on their own, and neither is a disclosure that appears only in your bio, a footer, a link list or behind “more”.
c. In video and audio, say it and show it in the content itself, and repeat it in the description next to the link. Where a platform offers a paid-partnership or paid-promotion setting, turn it on as well where you can.
d. Say only what is true and what you believe from your own use of ThreadPage. Describe only features that exist, quote our prices exactly as thread.page shows them when you publish, and do not promise discounts, longer trials, lifetime access, earnings or results that we do not offer. People who sign up through your link get the same price and the same trial as everyone else; do not present your link as a discount, coupon or deal.
e. Make clear that you are an independent partner. Do not present yourself as ThreadPage, its support or its staff.
f. Follow the law, including advertising, consumer, privacy and anti-spam law, and the rules of every platform and community where you share your link.
You must not:
g. Send unsolicited messages: bulk or cold direct messages, emails, comments or replies to people who did not ask, including messages to addresses or profiles collected from GitHub, websites or lists you did not build with consent. No telemarketing of any kind.
h. Post your link or code in GitHub issues, pull requests or discussions of projects you do not own, on Reddit or on Hacker News. In your own repositories, mention ThreadPage only where it relates to the project.
i. Bid on or target “ThreadPage”, “thread.page”, “Thread Page” or confusingly similar words or misspellings in search or other ad networks, or use them in domains, app names, social handles or ad text that could be taken for ours.
j. Post your link or our name on coupon, deal, free-trial, cashback, rebate or incentivised-traffic sites, or share any part of your commission with the people you refer.
k. Use your link to sign up yourself or your other accounts, or people you pay or reward for signing up or subscribing.
l. Create visits or sign-ups artificially: with bots or scripts, pop-ups or pop-unders, forced, hidden or automatic clicks, frames, cookie stuffing, misleading redirects, or software and extensions that insert or replace links.
m. Place your link in content that is unlawful, hateful, harassing, sexually explicit or deceptive, or that infringes someone else's rights.
n. Try to find out who your referrals are, or use what Settings → Partner program shows to contact or pressure anyone. Keep what it shows about individual referrals to yourself; you may share your totals.
We may look at your content and ask you to correct it. We do not pay commission on referrals credited while content that breaks this section was live and stayed uncorrected after we asked. For spam, ads on our name, self-referral or a repeated breach, we may end your partnership under section 9.
8. Our name and screenshots
You may use the name ThreadPage, and screenshots and recordings you make of ThreadPage yourself, to promote it under these terms. Do not suggest that we endorse you beyond this program. For new content, this permission ends with your partnership. Content you published before may stay up, unless we ask you to change or remove it because it breaks these terms.
9. Pausing and ending the partnership
You may leave at any time in Settings → Partner program. Closing your ThreadPage account also ends your partnership. If you left, you may join again with the same code, unless your link was paused or you were under notice of an end when you left; you then earn again on payments your earlier referrals make during the rest of their 24 months, but not on payments made while you were out. If you join again before we paid your remaining balance, it stays in your balance and is paid under section 5.
We may end the program or your partnership for any reason by email, with 30 days' notice. If we do and you have neither broken these terms nor left, you keep earning commission on payments that people already credited to you make during the rest of their 24 months, and we pay it as section 5 describes.
We may pause your link or end your partnership at once if you break section 2 or 7, if we reasonably suspect fraud, or if the law or our payment providers require it. While your link is paused, new accounts are not credited to you and payouts are held as section 5 allows; within 90 days we resume your link or end your partnership. Leaving or closing your account while your link is paused or while you are under notice of an end does not release money we are holding. If we end your partnership for a breach, you may not join again, under this or any other account, for three years after it ended; commission earned in a partnership joined against this is not payable.
Commission that is not payable under section 7, or that resulted from spam, ads on our name, coupon or trial sites, self-referral, artificial traffic (section 7 g, h, i, j, k and l) or fraud, is not payable, and you repay any such commission already paid.
When the partnership ends, your link stops crediting new accounts and you earn nothing on later payments, unless the second paragraph of this section applies. We keep paying your Ready balance under section 5, including amounts that become Ready later. A balance under USD 50 that comes from at least two different customers we pay with the next payout if you ask us to, and you may not join again until three months after that payout; a balance that comes from a single customer is not paid. This does not apply to amounts that are not payable under this section.
We tell you why we paused or ended your partnership and how to dispute it, unless the law prevents us.
10. Information about your referrals and about you
We show you a numbered row for each person credited to you, with the week they signed up and whether they use Free, are on a trial, pay for Pro monthly or yearly, or have stopped paying; a row disappears when the person stops crediting you, closes their account or their 24 months end. We also show visits by day, credited sign-ups and first payments by week and month, your commission by month, the amounts of commission that become Ready on each day, and, while your link credits new accounts, for the last 13 weeks, how many visits came from each of up to six referring websites that sent at least five, and from the others together. We never show you who your referrals are.
We use your partner details, payout details and the records of your commission and payouts to run the program, pay you, keep accounting and tax records, check sanctions, check that your posts carry the labels section 7 requires, and prevent fraud, as our Privacy Policy explains. Wise, our bank and the banks that carry the transfer receive your name, address and bank details to pay you. If we pay you as an individual, our tax reports to the State Tax Service of Ukraine include your name, taxpayer number, the commission and any tax withheld.
11. Our relationship
You are an independent contractor. These terms do not make you our employee, agent, representative or legal partner, and do not create a joint venture. You cannot make promises or contracts for us, and you pay your own costs.
We may transfer these Partner Terms, with everything we owe you under them, to a company or other organisation that takes over ThreadPage; we tell you at least 30 days before. You may not transfer your partnership or your commission to someone else.
12. Changes to these terms
We may change these Partner Terms by telling you at least 30 days in advance, by email and in Settings → Partner program. If you do not agree, you may leave before the change takes effect. Commission on payments made before a change follows the terms that applied when the payment was made. A change the law or our payment providers require may take effect sooner, and we tell you why.
13. No guarantee and liability
We do not promise any amount of commission, or that the program, a plan or a price will stay the same. Apart from paying commission we owe you, our total liability to you under these Partner Terms is limited to the commission payable to you in the 12 months before the claim. Neither of us is liable to the other for indirect or consequential loss. You will compensate us for fines and reasonable costs we incur because you broke section 7, and we may deduct them from commission we owe you; we tell you first and consult you before settling a claim. The exclusion of indirect loss above does not apply to this obligation. Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud or intentional harm.
14. Law and disputes
Ukrainian law governs these Partner Terms, and the courts of Ukraine decide disputes about them, without depriving you of protection that mandatory law of the country where you live gives you. Before going to court, write to support@thread.page; we answer within 14 days.
15. Language, the whole agreement and contact
These terms are written in English. We keep a Ukrainian translation, available on request; if the two differ, the English text prevails. If a court finds part of these terms unenforceable, the rest stays in effect, and if we do not enforce a right straight away we can still enforce it later. These Partner Terms are the whole agreement about the partner program; free Pro or anything else we give you is agreed separately. Questions about the program go to support@thread.page.
